Who these terms cover
These terms are between you and Richard Baldwin, ABN 62 619 046 362, trading as Scroll Ready (“Scroll Ready”, “we”, “us”). By creating an account, starting a trial or using the service, you accept them and confirm that you can bind the business you nominate.
The service
Scroll Ready is a managed social-media service. Depending on your plan and settings, we may help create, edit, schedule and publish content; manage connected-channel interactions; capture leads; and report results. Current features, channel support and usage limits are shown on our pricing pages and in your account.
Authority to act
You authorise us and our providers to access the social accounts you connect and take the actions you enable. You remain the account owner and may change permissions or disconnect a channel. You are responsible for your approval and automation settings and for promptly identifying content that must not be published.
Your account and security
Provide accurate, current information; keep credentials and access links secure; use the service only for an authorised business; and promptly report suspected unauthorised access. We may verify identity, restrict access or suspend risky activity to protect you, other users or the service.
Your content and permissions
You retain ownership of material you provide. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, adapt and distribute it only as needed to provide, secure and improve the service. You confirm that you have all rights, releases and permissions needed for us to use and publish it, including from people shown in it.
Generated content and approvals
The service may use automated and generative tools. Outputs can contain errors or resemble existing material. You are responsible for claims about your business, regulated advice, prices, promotions and final content you approve or allow to publish automatically. Automation is not a substitute for professional, legal or factual review.
Seven-day trial
Where offered, checkout shows the plan, monthly price, trial end and payment method before you start. A valid card is required but A$0 is charged at the start. Unless you cancel before the displayed trial end, the displayed price is charged when the trial ends and the subscription then renews monthly until cancelled. Trials are limited to one per eligible customer unless we agree otherwise.
Trial communications
During a trial we send essential billing and account messages and may send one useful guidance email on each trial day. Guidance emails include a clear unsubscribe option. Opting out stops optional guidance and marketing, but not necessary security, service, billing or legal notices.
Subscriptions, prices and taxes
Subscription fees are in AUD, include GST where stated, and are billed in advance through the provider shown at checkout. Plans renew at the disclosed monthly price until cancelled. If we change your price, we will provide reasonable advance notice and any rights required by law before it applies.
Cancellation
Cancel through Account or Manage Plan, or ask support for help. Cancellation stops future renewals and normally leaves paid access available to the end of the current billing period. Cancelling during the trial before its disclosed end prevents the first charge. Deleting the app or disconnecting a channel does not cancel billing.
Third-party platforms
Social networks, payment providers and integrations are independent services with their own terms. Their policy changes, outages, account restrictions, review decisions and API limits may affect the service. We do not control those decisions, but will take reasonable steps to restore or adapt affected functionality.
Acceptable use
Do not use the service for unlawful, infringing, deceptive, discriminatory, abusive or unsafe content; spam or address harvesting; malware; unauthorised access; platform manipulation; or regulated claims you are not permitted to make. Do not reverse engineer, resell or interfere with the service except where law permits.
Availability and changes
We aim to provide a reliable service but do not promise uninterrupted or error-free operation. We may maintain, secure, replace or discontinue features. If a material change substantially reduces a paid service, we will provide notice and any remedy required by the Australian Consumer Law.
Suspension and termination
We may suspend or terminate access for non-payment, material breach, security risk, unlawful use or a third-party platform requirement. Where reasonable, we will give notice and a chance to fix the issue. You may stop using the service and cancel at any time.
Australian Consumer Law
Nothing in these terms excludes, restricts or modifies a consumer guarantee, right or remedy that cannot lawfully be excluded. Where liability for services not ordinarily acquired for personal, domestic or household use can legally be limited, our liability is limited, at our option, to supplying the service again or paying the cost of doing so.
Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, lost profit or opportunity, or loss caused by the other party, a third-party platform or an event outside reasonable control. Our aggregate liability relating to the service is limited to fees paid in the preceding three months, except where prohibited by law or for fraud, wilful misconduct or personal injury.
Changes to these terms
We may update these terms for legal, security or service changes. We will post the updated date and give reasonable notice of material changes. Changes do not retrospectively remove accrued rights. If you do not accept a change, you may cancel before it takes effect.
Governing law
New South Wales law governs these terms. Courts with jurisdiction in New South Wales may hear disputes, without limiting consumer rights to bring a claim elsewhere where applicable. Please contact us first so we can try to resolve the concern.
